Agreement to Terms
By accessing and using the services provided by WebInABox, operated by an individual contractor who may collaborate with other independent contractors ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.
Services Description
WebInABox provides custom web development services, including but not limited to:
- Custom website design and development
- Website maintenance and updates
- Content management systems
- SEO optimization
- Performance optimization
- Technical support and consulting
Team Collaboration
Some projects may involve collaboration with other independent contractors who specialize in specific areas such as design, development, or other technical aspects. When team collaboration is required:
- You will be notified in advance if additional team members will be involved
- All team members are independent contractors, not employees
- We remain your primary point of contact throughout the project
- We are responsible for coordinating all team member work and deliverables
- All team members are bound by confidentiality agreements
Project Terms
Project Scope
Each project will have a defined scope outlined in a separate agreement or proposal. Any changes to the scope may result in additional costs and timeline adjustments.
Timeline and Deliverables
We will provide estimated timelines for project completion. While we strive to meet these timelines, they are estimates and may be subject to change based on project complexity and client feedback.
Client Responsibilities
Clients are responsible for:
- Providing necessary content and materials in a timely manner
- Reviewing and providing feedback on deliverables
- Ensuring they have rights to all content provided
- Maintaining backups of their content
- Providing access to necessary accounts and systems
Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- A deposit may be required to begin work
- Payment schedules will be outlined in project agreements
- Late payments may result in project delays or suspension
- All fees are non-refundable unless otherwise specified
Intellectual Property
Client Content
Clients retain ownership of their content, including text, images, and other materials provided to us.
Our Work
Upon full payment, clients receive ownership of the custom code and design created for their project. We retain the right to use the work in our portfolio and marketing materials.
Third-Party Components
Some projects may include third-party components (fonts, plugins, etc.) that remain subject to their respective licenses.
Limitation of Liability
WebInABox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or relating to our services. This limitation applies to work performed by us and any team members involved in your project.
Warranties
We warrant that our services will be performed in a professional manner consistent with industry standards. However, we do not guarantee that our services will be uninterrupted or error-free.
Termination
Either party may terminate a project agreement with written notice. Upon termination:
- Client will pay for work completed up to the termination date
- We will deliver all completed work to the client
- Client will return any materials or equipment provided by us
Confidentiality
We agree to keep confidential any proprietary information shared by clients during the course of our work together, except as required by law or with client consent. All team members involved in your project are also bound by confidentiality agreements and are required to maintain the same level of confidentiality.
Website Hosting and Maintenance
Unless specifically included in our services, clients are responsible for:
- Website hosting and domain registration
- Regular backups of their website
- Security updates and maintenance
- Content updates and management
Support and Maintenance
Post-launch support terms will be specified in individual agreements. We typically provide:
- Bug fixes for a limited period after launch
- Basic training on content management systems
- Documentation for custom features
Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.
Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If resolution cannot be reached, disputes may be submitted to mediation or arbitration as mutually agreed.
Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of the modified Terms.
